SOOMI Payments and Artist Sales
These terms apply when an artist activates SOOMI Payments, publishes a payment link or accepts a direct payment from a collector.
1. SOOMI’s role
SOOMI provides software that enables artists to create profiles, present artworks, generate sales pages, communicate with potential buyers and access payment-processing tools. Unless expressly stated otherwise, SOOMI does not own, possess, inspect or sell artworks listed by artists and does not act as an escrow service.
The contract for the purchase of an artwork is formed directly between the buyer and the artist identified on the relevant sales page and payment confirmation.
2. Artist as seller
The artist is the seller and merchant of record for each sale processed through the artist’s connected payment account. The artist is responsible for the accuracy of the listing, ownership or authority to sell the artwork, authenticity claims, condition, pricing, taxes, packaging, dispatch, delivery, returns, refunds and customer service.
Artists must provide accurate information about whether they are acting as a trader, sole trader, company or private seller. An artist must not describe themselves as a private seller where their activities legally constitute trading.
3. Payment processing
Payment processing, identity verification and payouts are provided by Stripe and its regulated affiliates. To activate SOOMI Payments, artists must complete the information requested by Stripe and agree to the applicable Stripe terms.
Artists may onboard as an individual, sole trader or registered company. An artist who already uses Stripe may be offered the option to reuse verified business information during Stripe onboarding. The connected payment account and nominated bank account must belong to the seller identified to SOOMI.
SOOMI does not control whether Stripe approves, restricts, reserves, delays or closes a connected payment account. Stripe may request further information from an artist at any time.
4. Direct receipt of funds
Payments are processed as direct charges on the artist’s connected payment account. Subject to Stripe’s processing fees, reserves, refunds and other permitted deductions, the artist’s proceeds are credited to the artist’s connected Stripe balance and paid to the artist’s nominated bank account according to Stripe’s applicable payout schedule.
SOOMI does not hold the artist’s sale proceeds in escrow and does not guarantee when funds will become available for payout.
5. SOOMI service fee
The artist authorises Stripe to deduct SOOMI’s service fee automatically from every successful transaction processed through SOOMI Payments and to transfer that fee to SOOMI.
Unless a different fee is clearly displayed and accepted before the artist publishes the sale, the SOOMI service fee is 10% of the artwork price and any commissionable artist-supplied extras. Shipping charges, taxes, tips and donations are excluded unless clearly stated otherwise.
The artist cannot require SOOMI to release the platform fee before completing a refund or responding to a dispute. Any refund of SOOMI’s service fee is subject to the refund policy in force at the time of the transaction and any applicable legal requirement.
6. Stripe fees
Stripe may deduct its own payment-processing, currency-conversion, dispute, payout or other fees from the artist’s connected account. Stripe’s fees are separate from SOOMI’s service fee.
Any estimated proceeds shown by SOOMI are illustrative and may differ from the amount ultimately paid out by Stripe.
7. Fulfilment
The artist is solely responsible for fulfilling the order according to the description and delivery terms displayed to the buyer.
- Accurately describe the artwork and disclose known damage or material differences.
- Package the artwork appropriately and dispatch within the stated period.
- Provide tracking or collection information where available and communicate material delays.
- Comply with applicable cancellation, return and refund requirements and retain relevant evidence.
- Mark an order as dispatched or delivered only when that statement is truthful.
8. Refunds, disputes and chargebacks
The artist is responsible for refunds, disputes, chargebacks, dispute fees and negative balances relating to direct charges on the artist’s connected payment account.
The artist must respond promptly to buyer communications and payment disputes. SOOMI may provide tools that organise transaction records or evidence, but SOOMI does not guarantee that a dispute will be won and is not responsible for deciding the outcome.
Stripe may deduct disputed or refunded amounts from the artist’s connected balance or bank account in accordance with Stripe’s terms.
9. Buyer relationship
The sales page, checkout confirmation and receipt will identify the artist who is selling the artwork. Buyers should direct fulfilment, delivery, return and refund questions to that artist.
SOOMI may assist with communications, reports or platform enforcement, but providing assistance does not make SOOMI the seller or transfer the artist’s contractual obligations to SOOMI.
10. Consumer rights
Nothing in these terms excludes or restricts a buyer’s statutory rights or any liability that cannot legally be excluded.
Artists acting as traders must comply with all applicable consumer-protection, distance-selling, product-safety, tax, export, customs and data-protection obligations.
11. Taxes
Artists are responsible for determining, collecting, reporting and paying taxes associated with their sales unless SOOMI or Stripe expressly confirms that it will perform a particular tax function.
SOOMI does not provide tax or legal advice.
12. Payment readiness
SOOMI may require an artist to complete account and payment-readiness checks before activating artwork checkout. These operational checks do not create a separate public badge.
SOOMI+ and SOOMI Ambassador badges do not authenticate individual artworks, guarantee ownership or fulfilment, guarantee the artist’s conduct, provide financial or investment advice, or mean that Stripe endorses the artist. SOOMI may restrict checkout where reasonably necessary to protect users or the platform.
13. Suspension
SOOMI may restrict payment links, remove listings, suspend an account or request further information where there are reasonable concerns involving fraud, misrepresentation, counterfeit or unauthorised work, repeated non-delivery, excessive disputes, unresolved negative balances, prohibited goods, inaccurate seller information, fee evasion, or breach of Stripe’s requirements or these terms.
Suspension does not remove an artist’s responsibility for existing orders, refunds, disputes or fees.
14. Records and communications
Artists consent to SOOMI storing transaction records, fulfilment updates, buyer communications and evidence reasonably required to operate the platform, prevent fraud, provide support and comply with legal obligations.
Personal information must be processed in accordance with the SOOMI Privacy Policy.
